  1. Service

    1. OceanClick Video Editing Services is a month-to-month prepaid subscription-based service. There is no lock-in period other than the monthly subscription already purchased. 

    2. OceanClick Services are on a “Use it or lose it” basis, meaning unused or idle hours throughout the week due to delayed submission of Raw Files by the Client cannot be rolled over towards future projects. It is the Client's responsibility to supply videos on time to OceanClick for editing. 

    3. Due to OceanClick’s operational setup, OceanClick does not offer a per video service.

    4. OceanClick Teams are responsible for informing Clients that they are idle and in need of new videos. However, OceanClick Teams will proactively create repurposed content to avoid idle time. 

OceanClick Teams will render the allocated number of hours of service throughout the week, Monday through Friday.

10 hours per week - 2 hours per day 

20 hours per week - 4 hours per day 

30 hours per week  -6 hours per day

40 hours per week - 8 hours per day 

 

OceanClick will deliver an end-of-week report indicating the number of hours used on different tasks. 

 

OceanClick guarantees that the Team Leader and Specialists it assigns to the Client will satisfactorily perform the services subscribed by the Client.

 

For unsatisfactory results based on metrics recorded in the Meeting Minutes that have been agreed upon by the Client and the OceanClick Team assigned to the Client’s account, OceanClick will, with 2 weeks notice from the Client, replace either the assigned Team Leader, Team Member, or whole Team to specialists preferred by the Client.

 

Service Feedback and Complaints can be sent via email to customerservice@oceanclick.biz or through direct Telegram chat to Shift Managers.

 

Payment 

Service will be initiated when payment has been received by OceanClick. 

To ensure uninterrupted service, clients are encouraged to pay subscription fees before the end of the current subscription.

If renewal payment of the subscription has not been received by the end of the current subscription period, services will be automatically stopped after the last day of the current subscription. 

Subscriptions are payable on a monthly basis. 

For Clients with 20 hrs or higher services, a bi-monthly billing cycle may be requested through email to invoicing@oceanclick.biz

Any Transfer Fee shall be shouldered by the client and is added on top of OceanClick’s Invoice. The Fees are as follows:

Transferwise Transfer Fee: ACH - 1% 

PayPal: 5%

Payoneer: ACH- 1% & CC - 3%

 

Change/Update of Service

All Service updates must be sent through email to services@oceanclick.biz 

An updated invoice will be sent to the Client with the new subscription plan. 

Downgrades will be initiated when the current subscription is completed and the new subscription plan has been paid. 

Upgrades will be initiated  once the new subscription plan has been paid

 

Refund/Cancellation Policy

OceanClick does not offer refunds for any subscriptions purchased. 

Services can be paused with a 1-week notice.

Paused services can be resumed with a 3-day notice.

If the Team is idle and the Client is unresponsive, OceanClick will automatically stop services at the end of the billing cycle and any unused time will not be credited. 

 

Turnaround Times:

First Edit - 48 hours for basic and higher services, counted after submission of raw files (72 hours for starter services, 10hr per week)

Revisions - within 24 hours from when the revision notes were given

Youtube SEO, Thumbnails etc - 24 hours

Email and Chat Responses - within  24 hours (except on weekends)

One (1) Video will require around 10 hours of service based on the following parameters:

Raw Footage is 15-20 minutes long

Final output is 10-15 minutes long

Feedback for revisions from Client is provided within 24 hours after submitting first edit

Number of revisions requested by the Client is 2 or lower.  

 

Overall Turnaround time from Raw File Submission to Ready for Publish on Youtube is 7 Days or Less

If parameters are not met, OCVS will still try to meet the 7 day turnaround time but without guarantee. Quality of edit will also be affected to meet the deadline.

 

Revisions

Unlimited Revisions. We are committed to working with our Clients until their video meets expectations. The Client can request unlimited revisions to their video, whether it's minor adjustments or significant changes, we're here to make sure the Client’s vision comes to life.

Revisions Count Towards Package Time. Please note that the time spent on revisions will be deducted from the allocated editing time in the Client’s chosen package. This means that the more revisions requested, the more editing time will be consumed. It's important to manage revisions effectively to ensure that the project stays within the allocated editing time.

Potential for Delays. While we strive to complete revisions promptly, it's essential to recognize that extensive revisions may lead to delays in the final delivery of the video. To minimize potential delays, we recommend providing clear, detailed, and complete revision requests. Our Team will work diligently to accommodate changes while adhering to the editing time allocation.

Timely Feedback. To ensure the timely completion of the video project, we kindly request that revision feedback be provided within 24 hours of receiving the edited or raw version. Delays in providing feedback could impact the project timeline and the overall editing process.

 

Holidays

In Accordance with Philippine Law, OceanClick will observe Philippine Non-working Holidays. OceanClick Teams will not be working during these holidays. However, OceanClick will have the right to offset working hours during the same month to make up for missed hours. OceanClick will also make sure to submit deadlines ahead of the non-working holidays. See Annex A for the list of Non-working Holidays.

 

Assets & Licensing

OceanClick will use licensed assets such as stock footage, stock images, custom fonts, motion graphics, and music. 

Upon request from the Client, OceanClick will provide the licenses for assets used.  

Non-licensed assets such as googled images will not be used unless requested and approved by the Client. 

Editing

Video editing will include the following services: 

Cutting of raw footage up to 4k

Green Screen Removal

Color Grading

Basic Audio Correction

Adding of Music and Sound Effects

Adding of B-roll 

Licensed Stock Footage

Licensed Stock Images

Provided by Client

Non-licenced assets (with approval of the Client)

Adding of Graphics, Text and other informational material

Creating Reels with Captioning

 

Video editing will not include the following services

3D design and animations

Script writing

 

YouTube SEO

YouTube SEO will include the following service:

Adding title, tags and description using keywords, Tubebuddy and other SEO Tools

Adding metadata to Thumbnail and Video files

Creating Custom Thumbnail

Adding cards and endscreens

Scheduling Video

Providing Youtube analytics (upon request)

Providing keywords for title suggestions (upon request)


 

File Management

OceanClick will keep project files, exported videos and other project related assets for a maximum of 2 months. Clients may request a copy of any of the above mentioned within the given period. After the 2 month period, all files will be deleted on OceanClick’s end. 

Final Approved video can be downloaded via Frame.io by the Client with 30 days

Client must have adequate cloud storage space in order to submit raw files to OceanClick (Google Drive preferred)

 

Termination of Service

Specialist Abuse. OceanClick reserves the right to terminate the services ifthe Client has shown verbally abusive behavior towards the specialists of OCVS, which include but is not limited to

Habitual Name-calling. Whether it is obvious or disguised as “pet names” or “teasing,” habitual name-calling is considered a method of belittling the specialist which OCVS shall not tolerate.

Condescension. Making comments that are sarcastic, disdainful, and patronizing with the intention to make the specialist feel inferior.

Persistent Criticism. There’s nothing wrong with constructive criticism. However, OCVS does not condone a verbally abusive CClient-specialist relationship, especially when the criticism is particularly harsh and persistent in an attempt to chip away at the specialist's self-esteem.

Degradation. To employ humiliation and shame to degrade the specialists and quell their confidence. These include words stated with an intention to make the specialist feel unnecessarily bad about themselves. 

Manipulation. An attempt to make the specialist do something without making it a direct order. OCVS does not condone tactics that are meant to control specialists and keep them off-balance for the purpose of confusing them into submission.

Threats. Words and statements that are meant to frighten the specialist into compliance.

 

Poaching. Maintaining a healthy business ecosystem benefits all parties involved. We encourage all our Clients to support the ethical and professional development of the industry by refraining from soliciting our employees or attempting to divert their allegiance. We emphasize the importance of respecting the professional relationships that our employees have developed within our organization. Clients are encouraged to collaborate with us to identify the best ways to address any workforce needs without engaging in poaching activities.

 

NOTE: Our employees have signed agreements that include non-solicitation clauses, which prevent them from engaging in business activities that could be perceived as poaching. We ask that you respect these contractual obligations. Otherwise, the employee will be liable for damages and will face a civil lawsuit under the Philippine law.

 

Breach of Contract. OceanClick reserves the right to terminate the services if the CClient requires OCVS to perform tasks outside the agreement without having the expressed consent of OCVS.

 

Trade Secrets 

OCVS and The Client shall not at any time or in any manner, either directly or indirectly, divulge, disclose, or communicate to any person, firm, or corporation in any manner whatsoever any information concerning any matters affecting or relating to each respective business of the Client, its manner of operation, plans, processes or other date without regard to whether all of the foregoing matters will be deemed confidential, material or important. The Parties hereto agree that as between them, important, material, and confidential shall mean that which will affect the effective and successful conduct of the business of the CClient and its goodwill.

The Client is expected to uphold confidentiality and non-disclosure obligations regarding our employees' personal and professional information. Information shared during the course of our engagement, including employee details, should not be used for the purpose of recruitment.

 

Agreement Outside the Contract

This Contract contains the complete employment agreement between the Parties and shall, as of the effective date hereof, supersede all other agreements between the Parties. The Parties stipulate that neither of them has made any agreement or any representations, including the execution or delivery hereof, except such representations as are specifically set herein, and each of the Parties hereto acknowledges that he/she has relied on his/her own judgment in entering into this Contract. The Parties hereto acknowledge that any payments or representations that have been made by either of them to the other are of no effect and that neither of them has relied thereon in connection with his dealings with the other.
